ALCADENT LTD – GENERAL TERMS AND CONDITIONS

The following terms and conditions shall apply to all orders placed to Alcadent Dental Laboratory LTD (“Laboratory”) from the dentist or laboratory or any other customer (‘Client’) with regards to custom made dental appliances (‘dental appliance’, ‘work’, ‘product’) from Alcadent. The dental patient is not considered a party to the agreement between Client and Laboratory.

General conditions

Appliances are constructed to the specification prescribed on the laboratory work order form. Client shall supply in writing with all specifications and information reasonably required by Laboratory to prepare the restoration requested by Client.It is the Client’s responsibility to fill Laboratory’s order form correctly and thoroughly. Failure to do so may result in incorrect or late restorations.The Laboratory is not responsible for the suitability of the mentioned specifications. While Laboratory reserves the right to request further specifications or information, it expressly disclaims any duty to do so and may rely entirely upon the original specifications and information provided by Client without any duty of investigation.

No Liability to Patients. Client shall be solely responsible for the accuracy of any such specifications or information. Client shall indemnify, defend and hold Laboratory and its officers, shareholders and directors, harmless from any and all claims, liabilities and damages arising by reason of treatment of any Client’s patients.

The Client is responsible for any additional costs or charges incurred through changing instructions or delivery dates after the work has been accepted by the Laboratory.

Laboratory endeavours to interpret and follow the Client’s instructions correctly. If however a mistake is made, the Laboratory will rectify the situation free of charge, as quickly as production techniques allows. The Laboratory will not compensate clients fees, consequential losses or expenses of any kind.

Laboratory will charge for Express services for crown and bridge cases as well as prosthetic cases, where the delivery date specified by the Client determines that these services will be required to enable delivery of the work on the date specified.

Additional express charges will be applied for cases when delivery is required sooner than the advised turnaround.

Laboratory endeavours to deliver work on delivery date specified by the client. If, however, for any reason this has not been possible, the laboratory will not compensate dentist's fees, consequential losses or expenses of any kind.

Laboratory will despatch work to reach the Client on the date specified on the laboratory order form. If for any reason this has not been possible, the Laboratory will deliver the work to the Client at the earliest date possible.

By fitting the restoration on receipt of invoice, the Client accepts that the Laboratory has manufactured the restoration to the correct value and specification to the satisfaction of the Client.

All prices are subject to alteration without prior notice. Laboratory reserves the right to revise these terms and conditions at any time and to refuse services for any reason.

Credit Policy & Payment Terms

All work or items supplied remain the property of the Laboratory until payment is received.

All accounts are strictly to be remited including all Client’s local as well as overseas bank charges and are payable within 15 days from the date of invoice.

Any legal fees or other costs required to collect an unpaid balance may be charged to Client. Accounts with balances unpaid for over 60 days will be processed only on a pay first basis.

Laboratory reserves the right to take legal steps – with prior notice – if client fails to settle his account within one month.

Client will receive a monthly statement listing all outstanding invoices. Once a case has been fitted it is considered completed and must be paid for.

The Laboratory reserves the right to check the credit rating of any Client.The Laboratory will charge interest on overdue accounts at a rate of 2% per month which will be applied to the total amount outstanding including any previous interest charged.

No claims for credit will be considered after 21 days from the date of invoice. A loss and handling charge is added to the weight of gold and precious alloys used.
Gold will be charged at its gross weight. Alloy is charged at the rate on the day of casting. The Laboratory cannot give an accurate estimation of the expected costs as this cannot be guaranteed.

The Laboratory will withhold goods if payment exceeds 30 days from month of invoice.

Remake Policy

A dental appliance that fits the master model poured from the original impression supplied by Client and which is created to the specifications on the prescription of Client, but subsequently has to be remade, will be handled according to Laboratory’s remake policy. All cases are guaranteed to fit the model based on the impression provided by Client.

The Laboratory will only consider claims for remakes within 14 days of the delivery date and reserves the right to charge for the remaking of an appliance.

Client has the right to inspect case(s) prior to acceptance provided that notice of non-acceptance or nonconformance of the case(s) shall be communicated to Laboratory within a reasonable time (not to exceed 10 business days) after receipt by Client.

Laboratory shall be given the opportunity to correct the defect or to replace the case(s) (at Laboratory’s sole discretion) with a conforming case(s), within a reasonable time and at the Laboratory cost (restrictions apply).

Where Client requests re-manufacture or repair of the case(s), Client shall resubmit all originals to Laboratory including impressions, models and restoration as well as new impressions if required. Failure to do so will result in the case being treated as a new case, and both will be charged for. In case the Client requires the affected restoration as a provisional, the new remake product will be fully charged. After Laboratory complete technical evaluation has been finished, a report to the Client shall be made.

If Client returns a case but do not wish a remake, all working forms, models, trays and restorations must be returned with written justification. Laboratory will access the case and a credit may be issued only if all elements necessary are returned as well as Laboratory complete technical evaluation has been finished.

When returning work containing precious or semi-precious alloys, Laboratory will charge for 20 % of the original alloy cost incurred.
(Please note that this is excluding the cost incurred due to loss of product during the manufacturing process.)

In the event of the following situations, Laboratory reserves the right to charge the Client accordingly:

- Laboratory inquired about the die, margin, impression or any other technical issue ,in cases where the originals contain false and/or inaccurate information but the prescribing dentist requests is to continue with the originals.
- Laboratory requested a try-in, but the Client declined and asked for a completed case.
- The teeth are re-prepared.
- Any work returned for remake where the instructions are different to the original order such as shade, product, material, design or any other technical item.
- Damaged restorations due Client handling mistakes.
- Any work returned back to Laboratory without the previous restoration, master cast and all its original components.

Should a case not reflect the given Client’s instructions, the case will be adjusted or remade by Laboratory free of charge. Laboratory is not liable for loss of surgery time due to remakes and/or returns.

Special arrangements regarding remaking cases can be negotiated in particular.

Warranty

Alcadent offers a three-years warranty on fixed restorations, a one-year warranty on removable restorations and a one-year warranty on sleep appliances.

Restoration is guaranteed to be free of defects due to materials and workmanship and the appliance is guaranteed to fit the provided model and to be constructed to the design requested on the prescription form.

The manufacturing materials used are certified and Laboratory will provide a material certifiicate.

If during the applicable warranty period Client experiences any problems with its restoration that are covered by the warranty as described herein, Client may elect to receive as follows:

a) Credit – within 21 days of request by Client, a credit will be issued and applied to Client’s account.
b) Remake/Repair during the warranty period, Laboratory will remake or repair the restoration (provided that if Client elects to change the materials for such restoration, the original cost of the restoration will be credited and the new costs invoiced).

The following situation are not subject to warranty :

- cash refunds for custom-made restorations;
- costs incurred for removal or insertion;
- restorations inserted by a non-licensed practicing dentist;
- repairs resulting from, neglect, abuse, failure of supportive tooth structure or tissue structures, improper adjustments or dental hygiene;
- restorations partially fabricated or completely fabricated by any other Laboratory or dental company.
- restorations which have been produced,changed or modified by any other company except Laboratory.
- The restoration has not been inserted right upon delivery, as changes in tissues and tooth mobility may occur.
